Terms of Use — TikTok Integration

Nexus 360 is a software-as-a-service platform operated by Vector Stack LLC ("Vector Stack", "we", "us", "our") that helps merchants ("Merchant", "Client", "you") manage e-commerce operations across multiple sales channels.

These Terms apply specifically to Merchants who connect their TikTok Shop or other TikTok for Business accounts to Nexus 360 (the "TikTok Integration"). The TikTok Integration enables Nexus 360 to read and write data on the Merchant's behalf through TikTok's official APIs, including listings, inventory, orders, fulfillment, returns, and related operational data.

Nexus 360 is not affiliated with, endorsed by, or sponsored by TikTok Pte. Ltd. or any of its affiliates. TikTok and TikTok Shop are trademarks of their respective owners.

To use the TikTok Integration you must (a) be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, (b) have the authority to bind the legal entity on whose behalf you are acting, and (c) maintain a TikTok Shop or TikTok for Business account in good standing and in compliance with all TikTok terms, policies, and guidelines.

You are responsible for maintaining the confidentiality of your Nexus 360 credentials and for all activity that occurs under your account.

By connecting your TikTok account to Nexus 360 you authorize Nexus 360 to access and process data through TikTok's APIs strictly for the purpose of operating the platform features you have enabled, including but not limited to product synchronization, inventory updates, order ingestion, fulfillment, shipment tracking, returns handling, reporting, and analytics for your own account.

We will only access the scopes you grant during the TikTok OAuth authorization flow. You may revoke this authorization at any time through your TikTok seller console or by disconnecting the integration in Nexus 360, in which case the platform will stop pulling new data and may lose access to features that depend on the integration.

You agree to use the TikTok Integration only for lawful purposes and in compliance with (a) all applicable laws and regulations, (b) TikTok's Terms of Service, Community Guidelines, Shop Seller Terms, Developer Terms of Service, and any other policies published by TikTok, and (c) the policies of any other marketplace or payment provider you connect.

You will not use the TikTok Integration to misrepresent your identity, infringe intellectual property rights, sell prohibited or restricted goods, manipulate reviews or engagement, evade TikTok's safety or content rules, or scrape data outside the scope of the granted API permissions.

Through the TikTok Integration you may direct Nexus 360 to receive personal information about your end customers (such as buyer name, shipping address, contact details, order history). You are the data controller for that information; Nexus 360 acts as a data processor on your behalf.

You represent and warrant that you have all rights, consents, and notices necessary to authorize Nexus 360 to receive and process such data, and that your use of the TikTok Integration complies with all applicable privacy and data protection laws.

Use of Nexus 360 may be subject to subscription fees, transaction fees, or other charges as set forth in your order form, plan selection, or any written agreement between you and Vector Stack LLC. Fees are non-refundable except where required by law.

Failure to pay any amount when due may result in suspension or termination of the TikTok Integration and other Nexus 360 services.

We strive to keep Nexus 360 and the TikTok Integration available, but we do not guarantee uninterrupted or error-free operation. The integration depends on TikTok's APIs, which may be modified, rate-limited, or deprecated by TikTok at any time and without notice to us.

We may add, modify, or discontinue features of the TikTok Integration at our discretion, including to comply with TikTok's developer requirements.

Nexus 360, including all software, designs, trademarks, and content other than Merchant Data, is and remains the exclusive property of Vector Stack LLC and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Nexus 360 for your internal business operations during the term of these Terms.

You retain all rights in your Merchant Data. You grant Vector Stack LLC a worldwide, royalty-free license to host, copy, transmit, and display Merchant Data solely as necessary to provide and improve the services.

The TikTok Integration relies on services and infrastructure operated by TikTok and other third parties. We are not responsible for any acts, omissions, outages, policy decisions, account suspensions, listing removals, payout delays, or other actions taken by TikTok or any other third party.

You acknowledge that TikTok may at its sole discretion restrict, suspend, or terminate access to its APIs, your seller account, or specific features, and that such actions may impair or disable the TikTok Integration.

THE TIKTOK INTEGRATION AND ALL OTHER NEXUS 360 SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

WE DO NOT WARRANT THAT DATA SYNCHRONIZED THROUGH THE TIKTOK INTEGRATION WILL BE COMPLETE, TIMELY, OR ERROR-FREE, OR THAT THE INTEGRATION WILL CONTINUE TO BE COMPATIBLE WITH FUTURE VERSIONS OF TIKTOK'S APIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VECTOR STACK LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE TIKTOK INTEGRATION OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO VECTOR STACK LLC FOR THE NEXUS 360 SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

You agree to defend, indemnify, and hold harmless Vector Stack LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the TikTok Integration, (b) Merchant Data and the products you sell, (c) your violation of these Terms, (d) your violation of TikTok's policies, or (e) your violation of any law or the rights of any third party.

Either party may terminate the TikTok Integration at any time. We may suspend or terminate your access immediately if you breach these Terms, if continuing the integration would violate TikTok's policies, or if TikTok requires us to do so.

Upon termination we will stop accessing TikTok APIs on your behalf and will delete or de-identify TikTok-sourced personal data in accordance with our Privacy Policy and TikTok's developer requirements, except where retention is required by law.

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws rules. Any dispute arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in the State of Florida, and the parties consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. If we make material changes we will notify you by posting the updated Terms at this URL and updating the "Last updated" date. Continued use of the TikTok Integration after the effective date constitutes acceptance of the updated Terms.
